Features of establishing a Special Purpose Company (SPC) with QFC:

  • Can only be established for the purpose of a "Transaction", which can be either an individual transaction or a series of transactions, and has the flexibility to carry out a wide range of activities to facilitate the execution of different transactions (both in conventional and Sharia-compliant forms).
  • May acquire, hold, or dispose of a broad range of assets (tangible or intangible), either for itself or on behalf of third parties (whether on trust or otherwise).
  • May be used for various finance needs, including obtaining financing, granting security, providing an indemnity, or entering into loan or hedging arrangements.
  • May be used to enter into arrangements or grant licenses in respect of intellectual property rights, know-how, confidential information or trade secrets.
  • Exempt from filing annual accounts, unless requested by the QFC Authority, and from holding annual general meetings.
  • Must appoint a QFCA-approved support services provider to support as a registered agent, company officer, and/or provide a registered office or business address.

Setup Process

Setting up a business at QFC is a transparent, efficient and seamless process. While requirements vary slightly for fintech firms, investment companies and fund managers, the overall journey remains the same, helping you and your business grow with confidence.

A link will be shared with the applicant to complete the form and provide the application requirements.

Your application will be reviewed by QFC team. If your activities are regulated, the QFC Regulatory Authority (QFCRA) will conduct a detailed assessment of your business model, governance arrangements, capital position and risk framework.

You may be asked to provide clarifications or submit additional documentation.

Once approved, your entity will be incorporated and licensed. You will receive your official registration documents and can proceed with post-licensing steps, such as:

  • Commercial Registration Extract

  • License Certificate

  • License Letter

  • Incorporation Certificate

After registration, QFC will facilitate the process of obtaining the computer card and setting up the bank account.
